Use of Service
License: Invoice Caddy grants you a limited, non-exclusive, non-transferable license to access and use the Service solely for your personal or internal business purposes.
Description of Service: Invoice Caddy offers you access to internet-based software that helps businesses simplify billing workflow by delivering invoices, facilitating payments, and maintaining seamless communication with customers.
Prohibited Activities: You agree not to engage in any of the following prohibited activities: (a) use the Service for any illegal purpose; (b) interfere with or disrupt the Service or servers or networks connected to the Service; (c) attempt to gain unauthorized access to the Service or computer systems or networks connected to the Service; (d) use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
Charges: You hereby authorize Invoice Caddy to charge your credit card in advance for all fees incurred by you in connection with your Invoice Caddy account. It is your responsibility to notify Invoice Caddy (via email at info@invoicecaddy.io) if your credit card has expired and to proactively make changes or your service may be disconnected or interrupted. All payments shall be in U.S. dollars. Invoice Caddy reserves the right to change its fees or billing methods at any time; however, such modification(s) shall not take effect earlier than thirty (30) days after Invoice Caddy posts such modification(s) on the Invoice Caddy website. Invoice Caddy may collect applicable taxes. Accounts not paid on time will be assessed an additional 1.5% (or the highest amount allowed by law, whichever is lower) per month if the outstanding balance is more than thirty (30) days past due. You are also responsible and liable for any fees (e.g., attorney and collection fees) that Invoice Caddy may incur in its efforts to collect any remaining balances from you.
Billing Discrepancies: It is your responsibility to bring any known billing discrepancies to Invoice Caddy’s attention within thirty (30) days after they first appear on your account statement. If you do not bring them to Invoice Caddy’s attention within thirty (30) days, you agree to waive your right to dispute such problems or discrepancies.
Intellectual Property
Ownership: Invoice Caddy retains all right, title, and interest in and to the Service, including all intellectual property rights.
License to User Content: By submitting or posting any content on the Service, you grant Invoice Caddy a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, and create derivative works from such content.
Limitation of Liability
Disclaimer: The Service is provided on an “as-is” and “as available” basis, without any representations or warranties of any kind, express or implied. Invoice Caddy disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability: In no event shall Invoice Caddy be liable for any indirect, consequential, special, incidental, or punitive damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use or inability to use the Service.
Indemnification
You agree to indemnify, defend, and hold harmless Invoice Caddy and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.
Termination
Invoice Caddy may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
For users that register on our website (if any), we also store the personal information they provide in their user profile. All users can see, edit, or delete their personal information at any time (except they cannot change their username). Website administrators can also see and edit that information.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.
Changes to Terms
Invoice Caddy reserves the right to update or change these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Service.
General Terms
If any provision herein is held by a court of competent jurisdiction to be invalid, void or unenforceable for any reason, the remaining provisions not so declared shall nevertheless continue in full force and effect but shall be construed in a manner so as to effectuate the intent herein, notwithstanding such stricken provision or provisions.
